Welcome to Celion. These Terms of Service ("Terms") govern your access to and use of Celion's AI-powered video automation platform, including our website, software, and services (collectively, the "Service").

By creating an account or using Celion, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Acceptance of Terms

By accessing or using Celion, you represent that:

• You are at least 18 years old (or the age of majority in your jurisdiction)
• You have the legal capacity to enter into a binding agreement
• You will comply with all applicable laws and regulations
• All information you provide is accurate and up-to-date

If you are using Celion on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration and Security

2.1 Account Creation

To use Celion, you must create an account by providing:

• A valid email address
• A secure password
• Your full name
• Payment information (for paid plans)

2.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

Celion is not liable for any loss or damage arising from your failure to secure your account.

2.3 Account Termination

You may close your account at any time through your account settings. Celion reserves the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

3. Service Description

Celion provides an AI-powered platform that:

• Automatically generates short-form clips from long-form videos
• Creates variations with different hooks, captions, and formats
• Posts and schedules content across multiple social media platforms
• Tracks analytics and performance metrics
• Automatically reposts and optimizes content for maximum reach

Celion is provided "as is" and we continuously update and improve the Service. Features may change, and some features may be in beta or experimental stages.

4. Subscription Plans and Billing

4.1 Pricing

Celion offers multiple subscription plans with different features and usage limits. Pricing is displayed on our website and subject to change with notice.

4.2 Billing Cycle

• Subscriptions are billed monthly or annually based on your selected plan
• Billing occurs automatically on your renewal date
• You authorize us to charge your payment method on file
• Failed payments may result in service suspension

4.3 Usage Limits

Each plan includes:

• Upload minutes: Based on the length of videos you upload (not the number of clips created)
• Connected accounts: Number of social media accounts you can link
• Workspaces: Number of separate projects or brands you can manage
• Storage: Total storage for uploaded videos and generated clips

If you exceed your plan limits, you may purchase additional usage or upgrade to a higher-tier plan.

4.4 Refunds and Cancellations

• You may cancel your subscription at any time from your account settings
• Cancellations take effect at the end of your current billing period
• We do not offer refunds for partial months or unused services
• If you cancel, you retain access to paid features until the end of your billing cycle

4.5 Price Changes

Celion reserves the right to adjust pricing. We will notify you at least 30 days before any price changes take effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Content Ownership and License

5.1 Your Content

You retain full ownership of all content you upload to Celion, including:

• Original videos and audio files
• AI-generated clips and variations
• Custom captions, hooks, and metadata

By uploading content, you grant Celion a limited, worldwide, non-exclusive license to:

• Process, store, and display your content within the Service
• Generate AI-powered clips, captions, and variations
• Post content to your connected social media accounts on your behalf
• Use anonymized, aggregated data to improve our AI models

This license terminates when you delete your content or close your account.

5.2 Your Responsibilities

You represent and warrant that:

• You own or have the necessary rights to all content you upload
• Your content does not infringe any third-party intellectual property rights
• Your content complies with all applicable laws and platform policies
• You are solely responsible for all content posted through Celion

5.3 Celion's Intellectual Property

Celion retains all rights to the Service, including our software, AI models, algorithms, branding, and design. You may not copy, modify, reverse engineer, or create derivative works without our express written permission.

6. Acceptable Use Policy

You agree not to use Celion to:

• Upload content that infringes copyright, trademark, or other intellectual property rights
• Post illegal, defamatory, obscene, or offensive content
• Distribute spam, malware, viruses, or malicious code
• Harass, threaten, or harm others
• Impersonate any person or entity
• Violate any platform's terms of service (TikTok, YouTube, Instagram, etc.)
• Circumvent usage limits, access controls, or security features
• Scrape, crawl, or extract data from the Service using automated means
• Resell, redistribute, or sublicense the Service without authorization
• Use the Service for any illegal or unauthorized purpose

Violation of this policy may result in immediate account suspension or termination.

7. AI-Generated Content and Accuracy

7.1 AI Limitations

Celion uses artificial intelligence to generate clips, captions, and content variations. While we strive for accuracy, AI-generated content may:

• Contain errors, inaccuracies, or inappropriate text
• Miss important moments or select suboptimal clips
• Generate captions that misrepresent the original content
• Fail to detect context, sarcasm, or nuanced speech

7.2 Your Responsibility to Review

You are solely responsible for reviewing all AI-generated content before publishing. Celion is not liable for any damages arising from errors, inaccuracies, or issues with AI-generated content.

8. Third-Party Platform Integrations

8.1 Platform Compliance

When you connect social media accounts to Celion, you agree to comply with the terms of service and community guidelines of those platforms, including but not limited to:

• TikTok
• Instagram (Meta)
• YouTube (Google)
• Facebook (Meta)
• X (Twitter)
• LinkedIn

8.2 Platform Changes

Third-party platforms may change their APIs, policies, or features at any time. Celion is not responsible for disruptions caused by platform changes, and we may need to adjust or discontinue certain integrations.

8.3 Account Bans

Celion is not responsible if your social media accounts are suspended, banned, or penalized by third-party platforms due to content posted through our Service. You are responsible for ensuring your content complies with all platform policies.

9. Disclaimers and Warranties

9.1 "As Is" Service

Celion is provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
• Guarantees of uninterrupted, error-free, or secure service
• Accuracy, reliability, or quality of AI-generated content
• Specific results, views, engagement, or growth from using Celion

9.2 No Guarantee of Results

Celion is a tool to automate video clipping and distribution. We do not guarantee that using Celion will result in increased views, followers, revenue, or any specific outcome. Your results depend on many factors, including content quality, audience, and platform algorithms.

10. Limitation of Liability

To the maximum extent permitted by law, Celion and its affiliates, officers, employees, and partners shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use the Service
• Damages resulting from AI-generated content errors or inaccuracies
• Damages caused by third-party platforms, integrations, or service providers
• Unauthorized access to or alteration of your content

In no event shall Celion's total liability exceed the amount you paid us in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such cases, our liability will be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Celion and its affiliates, officers, employees, and partners from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Content you upload or post through Celion
• Any disputes between you and third parties

12. Data Backup and Loss

While we take reasonable measures to back up data, you are responsible for maintaining your own backups of any content you upload to Celion. We are not liable for any loss or corruption of your data.

Always keep original copies of your videos and content.

13. Modifications to the Service

Celion reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

We may also impose new limits on features, restrict access to parts of the Service, or change pricing with appropriate notice.

14. Changes to These Terms

Celion may update these Terms from time to time. If we make material changes, we will notify you via email or through a prominent notice on our website at least 30 days before the changes take effect.

Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and close your account.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before filing a claim, you agree to contact us at hello@celion.ai to attempt to resolve the dispute informally.

15.2 Arbitration

If we cannot resolve the dispute informally, you agree that any legal dispute will be resolved through binding arbitration rather than in court, except:

• Claims seeking injunctive relief
• Small claims court disputes (under $10,000)
• Intellectual property disputes

15.3 Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive your right to participate in class actions, class arbitrations, or representative actions.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes not subject to arbitration shall be resolved in the state or federal courts located in Delaware.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Celion regarding the Service and supersede all prior agreements, understandings, and communications.
